Implementation of directors’ duties in the strive for sound corporate governance in Kenya: lessons from Uchumi Supermarkets Limited
Abstract
This research was conducted with the main objective of establishing the implementation mechanism available in Kenya to ensure sound corporate governance within the markets regulatory by assessing the level of accountability of company directors when dispensing their section 143 duty of promoting the success of the business as a whole. The methods of research adopted the use of archived information, interviews and questionnaires by specific groups. The underlying corporate governance theories were utilized in the study. It was established that our code and governance structure and model must be based on our national, economic and social environment so as to meet the needs of the Kenyan market, this is the only way effective implementation will be achieved.
